Please read these Terms and Conditions carefully before using the Jarvis Wholesale website. By accessing or using this Site you agree to be bound by these Terms and Conditions and all terms incorporated by reference. If you do not agree, please do not access or use the Site.

Definitions

  • “Company,” “we,” “us,” or “our” – Jarvis Lighting, Inc. and its affiliates.
  • “Site” – Jarvis Wholesale website, web app, and any related applications.
  • “User,” “you,” or “your” – the business entity granted wholesale access and its authorized representatives.
  • “Products” – LED fixtures, accessories, and other goods offered for sale on the Site.

1. Eligibility & Account Registration

  • Wholesale‑Only Access
    Site is only for Company‑approved wholesale customers. By registering, you confirm you are ≄18, authorized to bind your business, and that your information is accurate.
  • Account Security
    You’re responsible for your login credentials and all account activity. Notify us immediately of any unauthorized use.

2. Product Information & Availability

  • Specifications
    We aim for accuracy but reserve the right to correct errors or update information without notice.
  • Availability
    All Products are subject to stock availability; listing does not guarantee stock.

3. Pricing & Payment Terms

  • Pricing
    All prices in USD, exclusive of tax, duties, shipping, and handling unless stated.
  • Payment
    Terms per your written agreement (e.g., net‑30 or credit card). We may cancel orders if payment terms aren’t met.

4. Orders & Acceptance

  • Order Placement
    Placing an order is an offer to purchase under these Terms.
  • Confirmation
    We accept orders only upon written confirmation or shipment, whichever comes first.
  • Cancellations & Modifications
    Once in production or shipping, orders cannot be changed or canceled. Contact us promptly for assistance.

5. Shipping, Delivery & Risk of Loss

  • Shipping Terms
    Unless agreed otherwise, deliveries are FOB Shipping Point (IncotermsŸ 2020). Title and risk transfer upon tender to carrier.
  • Delivery Dates
    Quoted dates are estimates only; not liable for delays beyond our control.

6. Returns & Exchanges

  • Return Authorization
    Returns require an RMA number. Unauthorized returns may be refused or incur fees.
  • Restocking Fee
    Up to 25 % of purchase price + freight both ways for non‑error returns.
  • Condition
    Items must be unused, in original packaging, and resalable. Custom/modified items are non‑returnable.

7. Limited Warranty

  • Coverage
    Products are warranted per the published Jarvis Lighting warranty.
  • Exclusive Remedy
    At our option, repair, replacement, or credit for defective Products.
  • Exclusions
    Misuse, improper installation, unauthorized repair, and acts of God are excluded.

8. Intellectual Property

  • Ownership
    All Site content is owned by or licensed to the Company.
  • License
    You have a limited, non‑exclusive license to use the Site solely for placing wholesale orders.

9. Confidentiality

Pricing, roadmaps, and non‑public docs are confidential. You agree to keep them strictly confidential.

10. User Responsibilities & Prohibited Conduct

  • No unlawful use or violation of laws.
  • No impersonation or false affiliation.
  • No disruption, malware, or data scraping.
  • No resale/export in violation of U.S. laws.

11. Disclaimer of Warranties

Except as in Section 7, the Site and Products are provided “as is.” All other warranties are disclaimed to the fullest extent allowed by law.

12. Limitation of Liability

To the fullest extent permitted, we are not liable for indirect or consequential damages. Our total liability shall not exceed the amount you paid for the specific Products at issue.

13. Indemnification

You agree to indemnify and hold harmless the Company from any claims arising from your use of the Site or breach of these Terms.

14. Termination & Suspension

We may suspend or terminate your access at any time, for any reason, with or without notice.

15. Changes to Site or Terms

We may modify or discontinue the Site or these Terms at any time. Continued use after posting changes constitutes acceptance.

16. Governing Law & Dispute Resolution

These Terms are governed by Illinois law. All disputes will be resolved exclusively in Cook County, Illinois courts.

17. Export Compliance

You must comply with U.S. export laws and not ship Products to sanctioned entities or countries.

  • Force Majeure: Not liable for delays beyond our control (acts of God, labor disputes, etc.).
  • Severability: Invalid provisions do not affect the remainder.
  • Assignment: You may not assign rights without consent; we may assign anytime.
  • Entire Agreement: These Terms plus credit applications, POs, and warranty policy constitute the entire agreement.
